But in most early-stage situations, it is one of the most expensive distractions a founder can choose. In this short, I share what I tell founders who are spending weeks navigating ROC filings, professional fees, and compliance paperwork before they have even validated their idea. A sole proprietorship needs just a bank account, a PAN card, and a GST registration. A partnership with a co-founder can start with a simple deed, no ROC visit required in most cases. Both give you a working business structure while you focus on your MVP and early funding conversations. When the right investor walks in, they will guide you through the incorporation process. That is actually a good moment to do it, because you have someone experienced alongside you and a reason that justifies the effort. The principle here is simple: incorporate when it is strategically necessary, not because someone on a startup forum said you should.
