Lucas and Luna sit across a slim oak table, fountain pen and pearl studs, to examine the mechanics of high-stakes negotiation. Each episode dissects a real deal — from a $2B semiconductor joint venture to a startup's Series A term sheet — and the tactics that closed it. Lucas walks through the leverage points buried in contract language; Luna presses on the psychology of the room, the moment a pause shifts power. Together, they decode the math behind a final offer, the clauses that protect margin, and the conversational gambits that turn a deadlock into a signature. This is not a seminar on 'win-win' — it is a forensic look at what actually happens when two parties with divergent interests sit down to write an agreement. The listener who tunes in is someone who has walked into a negotiation room and felt the weight of the table. They leave with a sharper eye for the other side's walk-away price, a keener sense of when to hold silence, and a vocabulary for the concessions that matter. W

The Breakup Fee That Reshaped a 3.2 Billion Dollar Deal
Aug 21, 20269 minS4
In this episode of The Business Negotiation Podcast, Lucas and Luna dissect a single clause that often gets overlooked until the very end: the termination fee. Using a real-world 3.2 billion dollar acquisition, they explore how a carefully calibrated breakup fee—often called a reverse termination fee—can make or break a deal when regulatory hurdles appear. They walk through the negotiation dynamics, the numbers, and the strategic thinking behind setting the fee at the right level. Learn why this clause is not just boilerplate, and how it can protect both buyers and sellers in an unpredictable market. If you've ever wondered what happens when a deal falls apart, or how parties price the risk of failure, this episode offers a clear, practical breakdown. Tune in for a masterclass in negotiation leverage and risk allocation. #BreakupFee #ReverseTerminationFee #MergersAndAcquisitions #DealMaking #NegotiationStrategy #RiskAllocation #TerminationFee #Acquisition #BusinessNegotiation #ContractClauses #DealStructuring #Mergers #Acquisitions #Business #Finance #FexingoBusiness #BusinessPodcast #NegotiationTips Keep every episode free: buymeacoffee.com/fexingo
The Force Majeure Clause That Reshaped a 1.4 Billion Dollar Deal
Aug 20, 20265 minS4
In Episode 166 of The Business Negotiation Podcast, Lucas and Luna dissect a 1.4 billion dollar acquisition that nearly collapsed when a pandemic-related force majeure clause was triggered. They explore how the clause's vague language — 'acts of God' versus 'government orders' — became the battleground, and how a last-minute negotiation over 'reasonable efforts' saved the deal. Learn why force majeure is more than boilerplate, how to draft it with precision, and what this case teaches about risk allocation in M&A. A practical breakdown for negotiators and deal-makers. #ForceMajeure #Negotiation #MergersAndAcquisitions #DealMaking #ContractLaw #BusinessNegotiation #FexingoBusiness #BusinessPodcast #RiskAllocation #LegalClauses #PandemicDeal #Acquisition #NegotiationStrategy #DealRoom #CorporateLaw #MADeal #ContractDrafting #NegotiationTips Keep every episode free: buymeacoffee.com/fexingo
The Non-Compete Clause That Saved a 2.3 Billion Dollar Deal
Aug 19, 20269 minS4
In this episode, Lucas and Luna drill into a specific clause that can make or break a deal: the non-compete. Using a 2024 cross-border acquisition as a case study, they explore how a carefully drafted non-compete prevented a key founder from walking out the door and starting a rival venture. The discussion covers the negotiation tactics behind the clause, the pushback from the seller, and the eventual compromise that protected both sides. By the end, you'll understand why non-competes matter beyond just the signing day, and how a well-crafted restriction can preserve the value of an acquisition for years. If you negotiate deals, this episode is a must-listen. #NonCompete #MergersAndAcquisitions #DealNegotiation #BusinessLaw #ContractClauses #AcquisitionStrategy #FounderRetention #NegotiationTactics #DealMaking #BusinessPodcast #FexingoBusiness #LucasAndLuna #LegalClauses #PrivateEquity #BuyerProtection #SellerNegotiation #CorporateLaw #DealStructuring Keep every episode free: buymeacoffee.com/fexingo
The Go-Shop Clause That Shaped a 4.1 Billion Dollar Deal
Aug 18, 202610 minS4
In episode 164 of The Business Negotiation Podcast, Lucas and Luna dissect the go-shop clause—a provision that lets a target company solicit competing bids after signing a merger agreement. They anchor the discussion in a real 4.1 billion dollar acquisition from 2024, where the go-shop window changed the final price by 600 million dollars. The hosts explain how go-shops work, why they exist, and the key negotiating levers: window length, fee structures, and matching rights. They also contrast go-shops with no-shop clauses (covered in episode 155) and share practical advice for both buyers and sellers. If you've ever wondered why some deals have a 'for sale' sign even after the contract is signed, this episode gives you the playbook. #GoShopClause #MergersAndAcquisitions #DealNegotiation #BusinessDeals #ContractClauses #NegotiationStrategy #Mergers #Acquisitions #CorporateLaw #BusinessPodcast #Finance #DealMaking #FexingoBusiness #BusinessPodcast #NegotiationTips #MergerClauses #GoShopWindow #DealStructuring Keep every episode free: buymeacoffee.com/fexingo
How a Single Fiduciary Out Clause Reshaped a 4.8 Billion Dollar Deal
Aug 17, 202612 minS4
In this episode, Lucas and Luna dissect the $4.8 billion acquisition of Vantage Health by OmniCare in 2025, focusing on one pivotal clause: the fiduciary out. When a superior offer emerged just days before closing, the fiduciary out allowed Vantage's board to back out—but a carefully crafted matching right gave OmniCare a final shot. They walk through the tense weekend of negotiations, the legal gymnastics of the 'window shop' vs. 'go shop' distinction, and how the final deal price climbed by 600 million dollars. Lucas explains why the fiduciary out is often the most feared clause for buyers, as it hands control to the target's board, and how OmniCare's legal team used a matching period and a ticking fee to regain leverage. They also touch on the broader implications for M&A strategy in a competitive market. A must-listen for anyone in corporate development or deal law. #FiduciaryOut #MergersAndAcquisitions #DealMaking #NegotiationStrategy #CorporateLaw #VentureCapital #Business #Finance #LegalClauses #OmniCare #VantageHealth #MatchingRight #GoShop #WindowShop #TickingFee #DueDiligence #BoardRoom #FexingoBusiness Keep every episode free: buymeacoffee.com/fexingo
